License Fees

Host/Ancillary Product License Agreement("HALA") - $1,000 per Year

Note: As of September 5th, 2006 new HALA's may only be executed by Members of the SD Card Association ("SDA").

The following contains important information about the HALA.

PLEASE READ THOROUGHLY.

As an Agent, the 3C-LLC (The Company), hereby gives and grants the Association as attorney in fact full signatory power and authority to execute the License Agreement on its behalf in the exact form provided by the Company or SD Group.

Scope of Authority

The HALA is a joint agreement between the SDA and the Company as licensors, on the one hand, and the member/licensee on the other. Any interpretation, clarification, explanation, modification or negotiation of the HALA or any terms thereof must be approved both the SDA and the Company.

IMPORTANT: How to Take a License.

As of September 5th, 2006 you must be a member of the SDA to execute a new HALA.

HALAS entered into by non-member licensees prior to September 5th, 2006 shall remain effective until such HALA expires or is terminated in accordance with the terms set forth therein.

Each licensee must submit two fully executed (signed) copies of the Host License Agreement and the Licensee Registration Form. Mail both copies to the SDA at:
